Important: This Agreement governs participation in the Company’s affiliate and referral program. Commercial terms such as commission rates, attribution windows, payout thresholds, payout frequency, campaign eligibility and bonus conditions are stated in the Affiliate Dashboard or another written Commission Schedule and may be updated as described below.
This Affiliate and Referral Agreement (the “Agreement”) is a legally binding agreement between Data Infrastructure Development Group LLC (“Company”, “we”, “us” or “our”) and the person or legal entity accepted into the ProBetFunded affiliate or referral program (“Affiliate”, “you” or “your”).
You accept this Agreement by submitting an affiliate application, clicking an acceptance box, accessing the Affiliate Dashboard, using a Tracking Link, displaying Company Materials, referring a customer or otherwise participating in the Affiliate Program after this Agreement is presented to you. If you participate on behalf of a legal entity, you represent that you have authority to bind that entity.
Participation is not automatic. The Company may approve or reject any application, request additional information, limit participation to selected countries or traffic sources, or impose account-specific conditions in its discretion, subject to applicable law.
“Affiliate Account” means the account through which the Affiliate accesses the Affiliate Dashboard and participates in the Affiliate Program.
“Affiliate Dashboard” means the online portal, dashboard or other interface through which the Company may display Tracking Links, Commission Schedules, statistics, payment status, notices, campaign conditions and other program information.
“Approved Commission” means a Pending Commission that the Company has validated under this Agreement but that may still be subject to a stated payout threshold, payment cycle, tax documentation requirement, reserve, set-off or other disclosed payment condition.
“Approved Jurisdiction” means a country or territory in which the Company has expressly activated the relevant customer service and permits affiliate promotion at the relevant time.
“Commission” means compensation that may become payable to the Affiliate for a Qualifying Transaction under the applicable Commission Schedule.
“Commission Schedule” means the commercial terms published in the Affiliate Dashboard or otherwise communicated by the Company in writing, including commission rate or formula, attribution method and window, eligible products, qualification conditions, payment threshold, payment cycle, currency, bonus terms and campaign-specific conditions.
“Company Materials” means trade marks, logos, banners, copy, graphics, Tracking Links, landing pages, product descriptions, videos, promotional materials and other assets supplied or approved by the Company.
“Customer” means a natural person who is eligible for the Company’s services and who is referred through an approved Tracking Link or another approved attribution method.
“Net Revenue” means unless the Commission Schedule expressly states otherwise, the amount actually and finally collected by the Company from a Qualifying Transaction, excluding taxes, refunds, reversals, chargebacks, credits, discounts, payment fraud, duplicate payments, disputed amounts and amounts not retained by the Company.
“Payable Commission” means an Approved Commission that has satisfied all payment conditions and is due for payment in the next applicable payout cycle.
“Pending Commission” means a provisional amount displayed or recorded before final validation. A Pending Commission is not yet due or payable and does not constitute an account balance, deposit or vested payment right.
“Qualifying Transaction” means a customer transaction that satisfies this Agreement and every condition in the applicable Commission Schedule and has not been excluded, refunded, reversed, charged back, cancelled, duplicated, fraudulently generated or otherwise disqualified.
“Restricted Jurisdiction” means any jurisdiction from which the relevant Company service or affiliate marketing is not permitted, not technically activated, or blocked by the Company, including the United States and its territories and every country outside the Company’s then-current Approved Jurisdictions.
“Tracking Link” means a link, code, cookie, referral identifier or other tracking mechanism issued or approved by the Company.
The Affiliate is an independent contractor. Nothing in this Agreement creates employment, partnership, joint venture, franchise, fiduciary relationship, commercial agency, representative authority or exclusivity between the parties.
The Affiliate has no authority to bind the Company, negotiate or amend Company terms, make commitments on behalf of the Company, collect customer money, accept legal notices for the Company, provide regulated advice in the Company’s name, or represent that the Affiliate is an employee, agent, partner or official representative of the Company.
The Affiliate bears its own costs, business risks, taxes, licences, registrations, advertising expenses and personnel costs unless the Company expressly agrees otherwise in writing.
The applicable commission rates, tiers, revenue-share percentages, fixed acquisition amounts, payment thresholds, attribution periods, payout frequency, eligible products, qualification requirements, bonus conditions and campaign-specific rules are displayed in the Affiliate Dashboard or otherwise communicated by the Company in writing in the Commission Schedule. The Commission Schedule forms an integral part of this Agreement.
No commission percentage or commercial term is guaranteed for any minimum period unless the Company expressly agrees to a fixed term in writing. Different Affiliates may receive different Commission Schedules based on commercial arrangements, performance, geography, campaign, traffic quality or negotiated terms.
The Company may amend, replace, suspend or discontinue any commission rate, tier, campaign, bonus, attribution rule, eligible product, payment threshold, payment cycle or other Commission Schedule term at any time. Unless a change is required to address fraud, abuse, manifest error, legal or regulatory requirements, payment-provider requirements, security or a material program risk, changes apply prospectively from the effective date stated in the Affiliate Dashboard or other electronic notice.
Continued participation after the effective date of an updated Commission Schedule constitutes acceptance of the updated commercial terms. The Company will not retroactively reduce a Payable Commission solely because it later lowers a commission rate. This does not restrict the Company’s rights to reverse, withhold, recalculate or set off amounts relating to refunds, chargebacks, fraud, duplicate accounts, prohibited traffic, breach, tracking manipulation, ineligible transactions, manifest error or another disqualifying event under this Agreement.
Dashboard figures are provisional unless identified as Payable Commission. A referral, click, registration, deposit, purchase, successful payment, customer activity or displayed commission does not by itself create an unconditional payment right.
Unless the Commission Schedule expressly provides otherwise, a Commission becomes Payable Commission only after all of the following are satisfied:
The Company may place reasonable reserves on commissions where chargeback, refund, fraud, regulatory, payment-provider or traffic-quality risk justifies a hold. The existence and amount of a reserve may be shown in the Affiliate Dashboard or communicated separately.
Attribution is determined by the Company’s tracking systems and the applicable Commission Schedule. The Commission Schedule may use first-click, last-click, code-based, account-based, assisted or another attribution method and may define an attribution window. If no special rule is stated, the Company’s recorded eligible Tracking Link attributable to the Customer will control.
Tracking depends on technical factors such as cookies, browser settings, consent choices, device changes, ad blockers, cross-device activity and third-party platforms. The Company does not guarantee that every referral can be tracked. The Company is not liable for a lost attribution caused by a user’s privacy settings, deletion of cookies, unsupported devices, third-party restrictions or conduct outside the Company’s reasonable control.
The Company’s server-side records, payment records, customer account records and tracking logs are authoritative absent manifest error. The Company may correct a manifest tracking or calculation error at any time, including after a provisional dashboard amount was displayed.
No Commission is payable, or a previously credited Commission may be reversed, for any transaction that is refunded, charged back, reversed, cancelled, fraudulent, duplicated, unpaid, made by an ineligible Customer, generated through prohibited traffic, connected to self-referral, created through false information, linked to sanctions or restricted geography, or otherwise fails the Commission Schedule.
If a reversal occurs after payment, the Company may deduct the amount from future commissions, apply a negative balance to the Affiliate Account, set it off against another amount owed by the Company to the Affiliate, or request repayment where legally recoverable. A negative balance may carry forward until cleared.
The Company may require the Affiliate, its beneficial owners or authorised representatives to complete identity, business, sanctions, tax, payment-account and fraud verification before approval or payment. The Company may suspend payouts while reasonable verification is pending.
The Affiliate must provide accurate, current and complete information and promptly update material changes. Payments may be made only to an approved account held in the Affiliate’s legal name or, for a legal entity, in the entity’s name unless the Company approves another arrangement in writing.
The Affiliate is solely responsible for determining and paying all taxes, social charges, registrations, reporting obligations and other public charges relating to Commission income. The Company may request tax forms, issue tax documents, withhold taxes or report payments where required by law.
The Affiliate may promote the Company only in Approved Jurisdictions and only to audiences the Company permits for the relevant campaign. The Company’s intended customer scope is limited to activated jurisdictions within the European Union, European Economic Area, Switzerland and the United Kingdom unless the Company expressly approves another market in writing.
The Affiliate must not target, purchase traffic from, knowingly refer, or encourage access from any Restricted Jurisdiction. This includes, without limitation, the United States and its territories, the United Arab Emirates, Qatar, Saudi Arabia, Bahrain, Kuwait, Oman, Russia, Belarus, sanctioned or occupied territories, and every country that is not an Approved Jurisdiction at the relevant time.
The Company may change Approved Jurisdictions immediately where required by law, regulatory risk, payment-provider requirements, sanctions, platform policy, fraud risk or commercial decision. The Affiliate must promptly stop affected campaigns after notice or dashboard publication.
The Affiliate must market accurately, transparently and in a manner consistent with Company Materials, this Agreement, applicable advertising law, consumer-protection law, platform rules and any instructions issued by the Company.
Without prior written approval, the Affiliate must not:
Where the Affiliate receives or may receive compensation, the Affiliate must clearly and conspicuously disclose the commercial relationship in accordance with applicable advertising rules, including in social media posts, videos, reviews, comparison content and influencer content. The disclosure must be understandable to the intended audience and placed where it will be seen before or with the promotional claim.
Unless the Company gives prior written approval, the Affiliate must not bid on, purchase or use as paid-search keywords the Company’s names, trade marks, brand terms, misspellings, domains or confusingly similar terms, including “ProBetFunded”. The Affiliate must use reasonable negative-keyword controls where necessary to prevent prohibited brand bidding.
The Affiliate must not register, acquire or use a domain name, subdomain, social-media username, app name, company name, business name, ad-account name or other identifier that contains or is confusingly similar to the Company’s trade marks or suggests that the Affiliate channel is an official Company channel.
The Affiliate must not create fake official pages, impersonate Company personnel, manipulate map listings, distribute unauthorised browser extensions or apps, or use the Company’s brand in a way that creates confusion as to ownership or endorsement.
The following methods are prohibited unless the Company expressly approves them in writing:
The Affiliate is responsible for ensuring that email, SMS, messaging-app, telephone and other direct marketing complies with applicable consent, identification, unsubscribe and record-keeping requirements. The Affiliate must not represent an electronic message as being sent by the Company unless expressly authorised.
Every commercial message must identify the Affiliate or lawful sender, accurately describe the offer, provide any legally required disclosures and include a functional opt-out mechanism where required. The Affiliate must promptly honour opt-outs and suppression requests.
The Affiliate remains fully responsible for any employee, contractor, media buyer, agency, influencer, sub-affiliate or other person acting on its behalf. The Company may require prior written approval before the Affiliate operates a sub-affiliate network or allows another person to use its Tracking Links.
The Affiliate must impose written obligations on approved sub-affiliates that are at least as protective of the Company as the marketing, geographic, confidentiality, data-protection, intellectual-property and compliance obligations in this Agreement. A breach by a sub-affiliate is deemed a breach by the Affiliate.
Subject to this Agreement, the Company grants the Affiliate a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence during the term to use approved Company Materials solely to promote the Company in accordance with the Affiliate Program.
All rights in Company Materials, trade marks, software, content, data, designs and goodwill remain with the Company or its licensors. The Affiliate acquires no ownership right. The Company may require the Affiliate to modify or remove any use of Company Materials at any time.
The Affiliate must not alter Company logos, remove legal notices, create derivative brand identities, register Company trade marks, challenge ownership, or use Company Materials after termination except to the extent necessary to comply with law or resolve an existing payment dispute.
The Affiliate remains responsible for content it creates. To the extent the Affiliate submits testimonials, creatives, videos, images, marketing copy or other content to the Company for program use, the Affiliate grants the Company a worldwide, royalty-free, non-exclusive licence to reproduce, display, adapt and use that content for Affiliate Program administration and related marketing, unless otherwise agreed in writing.
The Affiliate represents that it owns or has all rights necessary for content it publishes or supplies and that the content does not infringe intellectual-property, privacy, publicity or other third-party rights.
Each party is responsible for its own compliance with applicable privacy, electronic-marketing and cookie laws for processing it independently controls. Unless a separate data-processing agreement expressly states otherwise, the parties act as independent controllers for their respective processing activities.
The Affiliate must provide all required privacy notices and obtain any consent required for cookies, pixels, advertising identifiers, affiliate tracking, analytics, retargeting, email marketing or other technologies on channels controlled by the Affiliate. The Affiliate must not cause non-essential Company tracking technology to be placed on a person’s device where required consent has not been obtained.
The Affiliate must not disclose special-category data, passwords, full payment-card data, identity documents or unnecessary customer personal data to the Company through affiliate channels. Any customer data lawfully received from the Company must be used only for the authorised purpose and protected with appropriate security measures.
The Affiliate must promptly notify the Company of any security incident, regulator inquiry or complaint materially connected with Company-related marketing or customer data and reasonably cooperate with lawful compliance requests.
The Company may monitor Affiliate traffic, promotional content, domains, search advertising, social channels, Tracking Links, conversion quality, refund rates, chargebacks, duplicate accounts and other program indicators to protect customers, the brand, payment systems and program integrity.
The Affiliate must keep reasonably sufficient records to demonstrate compliance with this Agreement, including campaign placements, required advertising disclosures and direct-marketing consent records where applicable, for at least three years or a longer period required by law. Upon reasonable request, the Affiliate must provide relevant records within the period stated by the Company, subject to lawful confidentiality and privacy restrictions.
The Company may conduct or require a reasonable compliance review where there is a material concern regarding fraud, unlawful marketing, Restricted Jurisdictions, brand misuse or data protection. Failure to provide reasonable cooperation may result in suspension.
Payout currency, payout methods, minimum payout threshold, payout frequency and any payment-processing conditions are stated in the Commission Schedule or Affiliate Dashboard. The Company may change supported payment methods where reasonably necessary.
The Company may withhold payment while a bona fide investigation, chargeback review, verification request, tax documentation request, sanctions screening or material compliance issue remains unresolved. The Company will not be required to make payment to an unsupported, third-party, anonymous or sanctioned payment destination.
Third-party bank, intermediary, foreign-exchange or payment-provider fees may be deducted or borne as stated in the Commission Schedule. The Company is not responsible for delays caused by the Affiliate’s bank, inaccurate payment details, compliance checks or events outside the Company’s reasonable control.
The Affiliate must not directly or indirectly manipulate the Affiliate Program. The Company may suspend attribution, invalidate transactions, reverse Pending or Approved Commissions, withhold Payable Commissions reasonably connected to the suspected conduct, close the Affiliate Account and pursue recovery where evidence establishes fraud, collusion, self-referral abuse, duplicate accounts, tracking manipulation, false advertising, payment fraud, prohibited traffic or another material breach.
The Company may use account, customer, device, network, payment, geolocation, advertising, conversion and other reliable data to investigate abuse. A serious adverse decision should be based on reasonable evidence. Security-sensitive investigative methods do not need to be disclosed where disclosure would facilitate circumvention.
The Affiliate represents and warrants throughout the term that:
The Company does not guarantee any traffic, conversion rate, customer acceptance, Commission amount, minimum income, campaign duration or continued availability of the Affiliate Program. Customer eligibility and product purchase decisions remain subject to Company rules and review.
The Company may add, remove or change products, pricing, promotional campaigns, customer eligibility, tracking technology, Approved Jurisdictions and commercial terms. Nothing in this Agreement creates a right to future commissions from transactions that occur after the Affiliate’s participation ends or after an applicable program term changes, except where the Commission Schedule expressly states otherwise.
“Confidential Information” includes non-public Commission Schedules, negotiated rates, customer or conversion data, dashboards, technical information, fraud controls, product plans, pricing strategy, business information and other information that a reasonable person would understand to be confidential.
The Affiliate must use Confidential Information only for the Affiliate Program, restrict access to persons who need it and protect it using reasonable measures. The Affiliate must not publicly disclose negotiated commission rates or dashboard data if identified as confidential, except where disclosure is legally required.
These obligations do not apply to information that is lawfully public without breach, already lawfully known without restriction, independently developed, or lawfully received from a third party. Confidentiality survives termination for five years, and trade-secret obligations survive for as long as the information remains a trade secret under applicable law.
The Company may suspend all or part of the Affiliate Account immediately while investigating suspected fraud, unlawful advertising, Restricted Jurisdiction traffic, brand misuse, security risk, sanctions exposure, payment abuse, data-protection concerns or another material compliance issue.
Either party may terminate participation in the Affiliate Program at any time by written or electronic notice. The Company may terminate immediately for material breach, fraud, repeated non-compliance, sanctions or legal risk, misuse of Company Materials, prohibited traffic, reputational harm, payment-provider risk or conduct that reasonably threatens customers or the integrity of the Affiliate Program.
On termination, the Affiliate must immediately stop presenting itself as an Affiliate, stop new promotion, remove Company Materials and disable Tracking Links where reasonably possible. Pending and Approved Commissions remain subject to validation, refund, chargeback, fraud, compliance and other conditions. Payable Commissions earned before termination will remain payable unless a contractual ground for withholding, reversal, set-off or forfeiture applies.
No Commission accrues for transactions occurring after termination unless the Commission Schedule expressly provides a post-termination attribution period.
To the maximum extent permitted by law, the Affiliate will indemnify, defend and hold harmless the Company, its affiliates, directors, officers, employees and service providers from third-party claims, regulatory proceedings, fines, damages, losses, liabilities and reasonable legal costs arising out of or relating to the Affiliate’s unlawful or misleading marketing, breach of this Agreement, infringement, privacy or direct-marketing violation, unauthorised statements, prohibited traffic, fraud, negligence or misconduct, except to the extent caused by the Company’s own wilful misconduct or liability that cannot lawfully be shifted.
To the maximum extent permitted by law, the Company will not be liable for indirect, incidental, special, punitive, exemplary or consequential loss, loss of anticipated commissions, loss of opportunity, goodwill, revenue, business, data or reputation, or for losses caused by third-party platforms, tracking limitations, search-engine changes, advertising-account suspension, payment-provider delays, customer conduct or events outside the Company’s reasonable control.
To the maximum extent permitted by law, the Company’s aggregate liability arising out of the Affiliate Program during any twelve-month period will not exceed the total Commissions actually paid or payable to the Affiliate during the three months immediately preceding the event giving rise to the claim. This limitation does not apply to liability that cannot legally be limited, including liability for fraud or wilful misconduct where applicable law prohibits limitation.
Each party must comply with laws applicable to its own activities. The Affiliate must promptly stop or modify marketing where the Company reasonably instructs it to do so for legal, regulatory, payment-provider, platform, sanctions, consumer-protection or geographic-compliance reasons.
The Company may disclose Affiliate information to payment providers, banks, professional advisers, regulators, courts or competent authorities where required or permitted by law, and may withhold information where disclosure would violate law or compromise an investigation.
The Company may amend this Agreement for legal, regulatory, security, operational, program-integrity or commercial reasons. The updated version will be made available electronically and will state an effective date. Where commercially practicable, the Company will provide reasonable notice of material changes.
Continued participation after the effective date constitutes acceptance of the amended Agreement. If the Affiliate does not agree, its remedy is to stop using the Affiliate Program and terminate participation before the amended terms take effect. A change to this Agreement will not by itself retroactively remove a Payable Commission already earned under the prior version, subject to the Company’s existing rights concerning fraud, refunds, chargebacks, error, breach and set-off.
The Company may deliver notices through the Affiliate Dashboard, the Affiliate Account, the email address registered by the Affiliate or another reasonable electronic method. Notices to the Company concerning this Agreement should be sent to support@probetfunded.com unless the Company designates another address in the Affiliate Dashboard.
The Affiliate must keep its contact details current. Electronic records, acceptance logs, dashboard notices and email communications may be used as evidence to the extent permitted by law.
This Agreement is governed by the laws of the State of Wyoming, United States of America, without regard to conflict-of-law principles.
Any dispute arising out of or relating to this Agreement that is not resolved through good-faith discussions will be finally resolved in English by one arbitrator under the International Dispute Resolution Procedures of the International Centre for Dispute Resolution (ICDR). The seat of arbitration will be Cheyenne, Wyoming, United States, and hearings may be conducted remotely. Judgment on the award may be entered in any court of competent jurisdiction.
Nothing prevents the Company from seeking temporary, injunctive or equitable relief from a court of competent jurisdiction to protect intellectual property, confidential information, security, customer data or the integrity of the Affiliate Program. To the extent legally permitted, disputes must be brought individually and not as a class, collective or representative action.
The Affiliate may not assign, transfer, sell or delegate this Agreement, the Affiliate Account, Tracking Links or rights to commissions without the Company’s prior written consent. The Company may assign this Agreement to an affiliate, purchaser, successor, acquirer of the relevant business or other entity that assumes the applicable obligations.
If any provision is held invalid or unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver of that provision or any later breach.
This Agreement, the Commission Schedule, campaign-specific written conditions and any expressly incorporated policy form the entire agreement concerning the Affiliate Program and supersede prior affiliate or referral discussions concerning the same subject matter. In the event of conflict, a signed individual commercial agreement prevails; then campaign-specific written terms; then the Commission Schedule for commission mechanics; and then this Agreement for all other matters.
